These Terms & Conditions (“Terms”) apply to your use of the MB Webworks & Visual Media website and to enquiries about services offered by us. “MB Webworks”, “we”, “us” and “our” mean MB Webworks & Visual Media, based in Pune, Maharashtra, India.
These website Terms do not replace a separate written proposal, statement of work, invoice or service agreement for a particular project. If a signed or otherwise accepted project agreement conflicts with these Terms, the project agreement will govern that project to the extent of the conflict.
1. Services
Depending on the project and agreed scope, we may provide website design and development, web applications, website management, SEO, digital marketing, content creation, branding, visual media, analytics and related digital services. Service availability, deliverables, timelines and pricing are confirmed individually in a quotation or project agreement.
2. Enquiries and Quotations
Submitting an enquiry does not create a client relationship or oblige either party to proceed. Quotations are based on the information available at the time and may be revised if requirements, deliverables, integrations or assumptions change. A project begins only after the scope, price, payment terms and any required deposit are accepted by both parties.
3. Client Responsibilities
You agree to provide accurate project information, timely feedback, required content and assets, and access or approvals reasonably needed to complete the work. You must have the rights and permissions necessary to provide any text, images, logos, data, software or other materials supplied to us. Delays in receiving content, approvals, credentials or payments may affect delivery dates.
4. Pricing, Payments and Taxes
Prices, advance payments, milestones, due dates, applicable taxes and any recurring charges will be stated in the accepted quotation, invoice or project agreement. Unless expressly agreed otherwise in writing, work outside the agreed scope may incur additional charges and will be discussed before it is undertaken. You are responsible for paying invoices by the agreed due dates.
Where payment is overdue, we may pause work or withhold handover after giving reasonable notice, subject to the applicable agreement and law. We will not treat a price or payment term on this website as a binding quote for a specific project.
5. Scope Changes, Revisions and Delivery
The project agreement should identify deliverables, milestones, included revision rounds, client dependencies and acceptance criteria. Requests that materially change the agreed scope, functionality, design direction or content may require a revised quote and timeline. Delivery estimates are made in good faith but may be affected by client delays, third-party services or circumstances beyond our reasonable control.
6. Cancellation, Refunds and Disputes
Cancellation terms, treatment of deposits, payment for work completed, and any refund eligibility should be set out in the applicable project agreement. If no specific term has been agreed, the parties should discuss the work completed and costs incurred in good faith, subject to applicable law. Nothing in these Terms excludes rights or remedies that cannot legally be excluded.
7. Intellectual Property
Each party retains ownership of materials it owned before the project. Unless the project agreement states otherwise, third-party software, fonts, stock assets, plugins, platforms and open-source components remain subject to their own licences and terms.
Ownership or usage rights for custom designs, source code, copy, graphics and other deliverables should be expressly stated in the project agreement. Unless otherwise agreed, final deliverables are provided for the client’s agreed business use after all amounts due for those deliverables have been paid. We do not transfer rights in third-party materials that we do not own.
We will not publicly display confidential client materials or identify a client in our portfolio where we have agreed not to do so. Any portfolio use should be agreed with the client or otherwise permitted by the applicable agreement and law.
8. Client Content and Lawful Use
You are responsible for the accuracy, legality and permissions relating to materials you supply, and for how you use the delivered website, content or marketing materials. You must not ask us to create or deploy material that infringes another party’s rights or violates applicable law. We may decline or suspend work that appears unlawful or presents a material security risk.
9. Third-Party Platforms and Services
Websites and campaigns may depend on hosting providers, domain registrars, payment processors, social networks, search engines, APIs, plugins or other third-party services. Their availability, policies, prices, algorithms and features may change. Unless expressly included in the project agreement, third-party subscription fees, domain renewals, hosting charges, advertising spend and licences are not included in our service fee. We cannot guarantee uninterrupted third-party services or outcomes controlled by them.
10. SEO, Marketing and Results
SEO rankings, website traffic, leads, sales, advertising performance and social media reach depend on many factors outside our control. We may agree on deliverables and reporting, but we do not guarantee a specific ranking, revenue, lead volume, approval, audience growth or business result unless an explicit written agreement lawfully provides otherwise.
11. Website Use and Availability
You must not misuse our website, attempt unauthorised access, interfere with its operation, introduce malicious code or use it in violation of applicable law. We may modify, suspend or discontinue website features where reasonably necessary. We aim to keep website information current but do not warrant that every page is complete, error-free or continuously available.
12. Confidentiality and Personal Information
Each party should protect the other party’s non-public information shared for a project and use it only for the agreed purpose, subject to disclosures required by law. Our handling of personal information is described in our Privacy Policy. Project-specific confidentiality, security and data-processing obligations should be written into the relevant agreement where needed.
13. Limitation of Liability
To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential loss arising from use of the website or a project. Nothing in these Terms excludes liability that cannot legally be excluded, including liability arising from fraud or wilful misconduct where applicable. Any project-specific liability cap or allocation of risk must be agreed in writing and will apply only to the extent permitted by law.
14. Indemnity
To the extent permitted by law, you are responsible for claims arising from materials you supplied without the necessary rights or from your unlawful use of deliverables, except to the extent caused by our own breach, negligence or unlawful conduct. Any broader indemnity must be set out in a project agreement.
15. Suspension or Termination
Either party may end a project in accordance with the accepted project agreement. If there is a material breach, the non-breaching party may give written notice describing the breach and a reasonable opportunity to remedy it where appropriate. On termination, payment for completed work, approved expenses, access handover and treatment of unfinished materials will be handled under the project agreement and applicable law.
16. Governing Law and Disputes
These Terms are intended to be governed by the laws of India. Subject to mandatory legal requirements and applicable jurisdiction rules, courts of competent jurisdiction in Pune, Maharashtra may hear disputes relating to these Terms. The parties are encouraged to first try to resolve concerns through good-faith discussion.
17. Changes to These Terms
We may revise these Terms as our website or services change. The revised version will be posted on this page with an updated date. Terms already agreed in a separate project contract will be governed by that contract unless the parties agree otherwise.
